Publisher SERVICE - GENERAL TERMS AND CONDITIONS These general terms and conditions govern the agreement between Namesco Limited ("Company") a company registered in England with number 03913408 and with Registered Office at Acton House, Perdiswell Park, Worcester, WR3 7GD, UK, VAT Registration No. 824767110 and any party ("Publisher") that has an Internet web site available, and applies to publish in its spaces the advertising messages sold by the Company, if the application to enter into the agreement is not rejected by the Company. SERVICE The Company offers to the Publishers the opportunity to publish advertising messages in the spaces which are present on Internet web sites owned thereby or which are available thereto and are sold by the Company to third-party investors (also "Advertisers"), subject to the fee outlined in the paragraph below. For this purpose the Publisher declares that it is either a corporation or a person over 18 years old and declares to accept that the Company may publish the messages of third parties or of the Company, in the form of banners and/or text links and/or pop-ups and/or pop-unders. Furthermore, the Publisher declares to accept the insertion on its own web site(s) of one of the Company's Tags useful to trace the hits by users on the site(s) in question. Furthermore, the Publisher undertakes to comply with the instructions which will be provided by the Company concerning the correct publication, distribution and control of the advertising messages, and also undertakes to comply with the formats of the advertising messages as supplied by the Company. The Publisher undertakes to display the advertising messages procured by the Company in a correct and legible form and in a way that does not create confusion among all the messages, if third-party advertising messages are also present on the Publisher's pages. Lastly, the Publisher undertakes to notify the Company exclusively regarding any information concerning the advertising messages published on the web site(s) owned by the Publisher in question. PUBLISHER'S WEB SITE(S) The Publisher is the party with exclusive responsibility for its own web site(s), the contents and materials published thereon, as well as for its maintenance and implementation, so that the Company shall not be deemed responsible for the Publisher's web site(s) for any reason whatsoever. The Publisher hereby declares that no contents relating to child pornography, violent or however illegal contents and/or contents which may breach the rights and/or the reputation of third parties in some way are published and shall not be published on the pages comprising the web site(s) and shall assume all responsibility in this respect. PUBLISHER'S LIABILITY The Publisher undertakes not to generate searches, impressions or clicks, directly or indirectly, on the advertising messages published on the Publisher's web site(s) and supplied by the Company, also by using automated, misleading or fraudulent means, including, inter alia, repeated manual clicks, robots or other tools to generate searches automatically and/or the unauthorised use of other services and/or software to optimise search engines. The Publisher undertakes not to edit, modify, filter or change the order of the information contained in any advertising message, and not to insert in a frame, reduce to an icon or limit the complete display of any Web page containing advertising messages, and not to direct a final user to a page other than the advertiser's page or the search results page, and not to insert any content between the message and the advertisers' page or between the page containing the search field and the search results page, not to display any advertising message on any Web page or site that contains child pornography, violent material, illegal content or messages which instigate hatred or violence, as well as pages which only contain advertising messages without editorial content. The Publisher declares and warrants that all the information provided for the purposes of subscribing to the service is correct and true and that the Publisher is the actual owner and/or that the web site(s) where the advertising messages are displayed is/are available to the Publisher. The Publisher undertakes to comply with the terms and conditions established herein. The Company reserves the right to interrupt the service immediately, subject to its final discretion, if the Company deems that the Publisher has put in place activities which breach the obligations set out in these general terms and conditions. For this purpose the Publisher duly acknowledges being the only party responsible for the activities undertaken thereby or referable directly or indirectly thereto. Consequently, the Company cannot be considered liable for any activities undertaken by the Publisher. FEES AND PAYMENTS The fees due and payable to the Publisher shall be calculated as a percentage of the sales value of the spaces sold to the advertisers by auction, as indicated on the Company's web site at the following address: http://publisher.simply.com/payments.html. In this regard, the Publisher is duly informed that it is not possible to predetermine the sums due and payable to the Publishers in terms of the fee, since the spaces sold are calculated on the basis of an auction mechanism. The amounts accruing, however, will be visible on a daily basis on the own Publisher's control panel and will be indicated in Euro. However, since the advertising spaces may also be sold in a currency other than the Euro, the Publisher is informed that the amounts displayed may be subject to changes due to the related exchange rates which are adopted daily. In any event the amounts due and payable to the Publisher will be quantified on the basis of the related rates applicable on the 10th day of the month after the reference month. Payments shall be made to the Publisher by the Company according to the methods indicated on the Company's web site at the following address: http://publisher.simply.com/payments.html, within 30 days after the end of each calendar month during which the advertising messages are published on the Publisher's web site(s), provided a minimum amount of Euros 50.00 (in words: fifty Euros / zero zero cents) has accrued, unless agreed otherwise. Any smaller amounts will be carried over to the following month and the payment will be made provided the minimum amount of Euros 50.00 (in words: fifty Euros / zero zero cents) has been reached. If the agreement is terminated for any reason whatsoever, possible credit amounts due and payable to the Publisher will be paid within 90 days from the end of the agreement, provided such amounts exceed Euros 5.00. In any event the Company reserves the right to make payments only after the Company has collected the corresponding amounts from the Advertisers. The Company's measurement systems shall be valid exclusively for the purposes of quantifying the fees. In any event impressions or clicks generated by using robots, automatic programs or similar devices, as determined reasonably by the Company, shall not be deemed valid, including, inter alia, clicks or impressions (i) originating from IP addresses or computers controlled by the Publisher or (ii) requested by paying money, false declarations or requests made to users to click on the messages. The Company reserves the right to suspend payment of the fees if the Advertisers do not pay the Company for the messages displayed on the Publisher's web site(s). The Publisher hereby undertakes to pay all the taxes applied by any government body in accordance with the legislation applied therein in relations to its participation to the Service. DURATION AND WITHDRAWAL The duration of the service does not foresee any pre-established termination date. The Publisher may withdraw from the agreement at any time, subject to giving at least 10 working days written notice, to be forwarded by e-mail to publisher@simply.com. The Company, on its part, may withdraw from this agreement with immediate effect, subject to its total discretion, by notifying the Publisher accordingly, also by e-mail. LIABILITY LIMITS The service is offered "AS IS" and "AS AVAILABLE" and therefore the Company does not assume any responsibility concerning its use and availability, punctuality or possible cancellation. The Company does not offer any guarantee regarding the accuracy, truthfulness and completeness of the third-party advertising messages and does not have any control over them. Furthermore, the Company does not offer any guarantee regarding (i) the identity, the legal capacity, the serious intent or other characteristics of the third-party advertisers, (ii) the quality, the lawfulness and the safety of the products and/or services referred to in the advertising messages, (iii) the truthfulness and accuracy of the descriptions provided. Lastly, the Company does not offer any guarantee regarding the results obtained by the Publisher via the Service, and in particular, regarding the level of impressions or clicks which will be generated by the advertising messages. The Company undertakes to put in place all reasonable endeavours to guarantee the service but can never be held liable for direct, indirect or consequential damages or losses and/or anomalies which may occur in the service's supply and which are outside the Company's own technical control, for example (without limitation): malfunctions in managing the telephone and/or telematic networks or due to malfunctions caused by flaws in the essential means of access, due to the improper use of such means and/or the methods to access the Service adopted by the Users. \n\nADVERTISING\n\nBy entering into this agreement the Publisher duly approves the use of its name and logo by the Company in presentations, marketing material, customer lists, financial reports, lists of customer web sites, and search results pages. COMMUNICATIONS BETWEEN THE PARTIES The Parties duly agree that any communications between them may be by e-mail, unless indicated otherwise. Communications addressed to the Company and forwarded by e-mail shall be forwarded to the address published on the Company's web site. An e-mail communication shall be deemed to have been delivered on the day it is sent provided the sender does not receive a message of non-delivery. INTELLECTUAL PROPERTY By entering into this agreement the Publisher acknowledges the Company's intellectual property rights over the service and undertakes not to modify, adapt, translate, decompile, decode, disassemble the service or not to attempt to extract the source code in other way, or not to create or attempt to create a substitute or similar service or product by using or accessing the service or proprietary information correlated to the service. The Publisher undertakes not to remove, hide or change notices concerning copyright, commercial brands or other notices concerning the Company's proprietary rights. PRIVACY The Company's Privacy Policy published on its web site shall apply to this agreement. GOVERNING LAW AND JURISDICTION These terms and conditions of service shall be governed by English Law. The Parties submit to the exclusive jurisdiction of the English courts.
